Introduction These terms of use (“Terms”) mandate the terms on which Users (collectively referred to as “you” or “your” or “yourself”) may access or use the website for the India Genius Challenge (indiageniuschallenge.com) (“Platform”), which is owned, operated, licensed, and controlled by Zaan Webveda Private Limited (“we”, “us”, “our”, or “IGC”). (You and IGC are collectively referred as “Parties” in this Terms). These Terms are an electronic record in terms of the Information Technology Act, 2000 and rules made thereunder as applicable. The Terms are (i) published in accordance with the provisions of Rule 3(1)(a) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 and (ii) generated by a computer system and do not require any physical, electronic, or digital signatures. Please read the Terms and our privacy policy (“Privacy Policy”) carefully before accessing or using the Platform. By accessing or using the Platform, you accept these Terms and the Privacy Policy and agree to be legally bound by the same. IGC retains an unconditional right to modify or amend these Terms and the Privacy Policy and will notify you of the same. You can determine when these Terms were last modified by referring to the “Last updated” legend above. It shall be your responsibility to check these Terms and the Privacy Policy periodically for changes. Your acceptance of the amended Terms shall signify your consent to such changes and agreement to be legally bound by the same. 2. Definitions a) Applicable Law: means all applicable acts of legislature, bye-laws, laws, ordinances, notifications, regulations, rules, statutes, directives, or orders of governmental authorities, tribunals, boards, courts, and applicable international treaties and regulations, in force in India. b) Content: means all text, questions, audio, graphics, rankings, interactive features, or any other content made available by IGC through the Platform. c) Devices: means any electronic device such as computers and laptops, mobile phones, tablets or any other device on which the Platform is accessed, or Content is made available by IGC, through the Platform. d) Grievance Redressal Officer: means the officer appointed by IGC for addressing grievances raised by Users. e) Leaderboard: means the gamified leaderboard available on the Platform, displaying the usernames, locations, and performance rankings of top Users, as per the scoring metrics of the IGC. f) Intellectual Property Rights: means rights relating to copyrights, trademarks, service marks, trade dress, logos, domain names, design rights, database rights, patents, together with any translation, adaptation and combination of such rights, and including any associated goodwill and all other intellectual property rights of any kind, whether or not they are registered or unregistered (anywhere in the world). g) Platform: means the website of the India Genius Challenge initiative. h) Users: means any person who accesses or uses the Platform. 3. Eligibility Use of the Platform is intended primarily for students aged between 13 and 18 years. IGC is aimed at finding, recognizing the merit and rewarding students, specially from tier 2 and 3 cities in India, and providing them the financial, intellectual and emotional support required for their holistic growth. By accessing or using the Platform, you affirm that you are competent to enter into and agree to these Terms, or that you have obtained consent from your parent or guardian, as required under these Terms and the Applicable Law. 4. Accounts and Registration 4.1. You may be required to register with us for creating a user account on the Platform, and provide certain information for accessing or using the Platform, such as your name, age, city, contact information, and other relevant details. You agree that the information provided by you is and will remain accurate and up-to-date at all times. 4.2. If you are below the age of 18, your registration must be completed with the consent of your parent or legal guardian. As part of the registration process, you will be required to submit the mobile phone number of your parent or legal guardian, who will receive a One-Time Password (OTP) on their device. The registration will be considered complete only upon submission of the correct OTP, which shall serve as an electronic record of such parent or guardian’s consent to these Terms and for your participation in the IGC. 4.3. You are solely responsible for maintaining the confidentiality of your login credentials or access details. If you have reason to believe that your account has been compromised or is no longer secure, you must inform us at the earliest. We retain the right to suspend or terminate access to the Platform in the event of any breach of these Terms or Applicable Law. 5. Challenge Structure and Participation 5.1. The IGC consists of two main stages: (a) Stage 1 (Online): This stage is free to access and open to all Users. It consists of gamified assessments based on general awareness, logical reasoning, and critical thinking. Users may attempt Stage 1 multiple times. A public Leaderboard will display top performers, based on scoring criteria published on the Platform. The scoring criteria can be accessed from Here. Top performing Users will be eligible for certain digital gifts, such as merchandise, free mentoring sessions, digital certificates, coupons for discounts/free access to online courses, etc. All digital gifts are non-transferable and offered solely at our discretion. We do not guarantee the availability, value, or merchantability of such digital gifts. (b) Stage 2 (Offline): This stage is by invitation only, and subject to a participation fee. Only eligible Users, who fall within the top 40% percentile (based on scores from Stage 1 over a defined period of one (1) year) and meet all eligibility criteria will be invited to participate in Stage 2. Finalists will be assessed through individual and team activities, and evaluated on parameters such as general awareness, creative writing, and debating. Winners may receive scholarships and other rewards. Full details of the offline event, fees, and selection process will be notified on the Platform. 5.2. To make the participation more engaging and accessible, Stage 1 of the IGC also incorporates certain gamified elements in the online assessment and challenges. These may included features such as the ability to eliminate certain answer options (such as 2 options out of 4), option to earn bonus points, or changing questions, etc. These features are designed to enhance the learning outcomes, User motivation, and overall challenge experience. The availability, format, and rules associated with these gamified features may be updated or modified at our discretion and will be reflected on the Platform with the scoring criteria. 5.3. The selection criteria, scoring mechanisms, and eligibility for rewards may be updated or modified at any time at our discretion. Users are encouraged to check the Platform periodically for updates. 6. Intellectual Property and Ownership 6.1. The Content on the Platform and all copyrights, trademarks, service marks, trade names and all other Intellectual Property Rights in the Content and the Platform, are owned by IGC and/or our licensors, or collaborators, as the case may be, and are protected under Applicable Law. 6.2. You acknowledge and agree that IGC shall own and retain all rights, title, and interest, including all Intellectual Property Rights, in and to any content, material, or input submitted, uploaded, or otherwise provided by you on or through the Platform, including but not limited to any comments, text, responses, answers, or performance data generated during your participation in the IGC. By submitting such content, you hereby irrevocably assign all such rights to IGC, without any obligation of attribution, notice or any compensation. 6.3. You further agree that the IGC shall have the unrestricted and royalty-free right to use, reproduce, modify, publish, display or otherwise utilize any such content for the purposes of administering IGC, improving the Platform, conducting analytics, or promoting future editions of the IGC. 7. Limited License and Restrictions 7.1. Subject to your compliance with these Terms, our Privacy Policy, and the rules of IGC, we grant you a limited, conditional, revocable, non-exclusive, non-transferable, non-assignable, worldwide, royalty-free license to access and use the Platform, solely for the purpose of participating in the IGC. 7.2. No rights, title or interest in the Platform or any Content on the Platform will be deemed or construed to be transferred to you. You may own the Device on which elements of the Platform are made available to you, but we will retain full and complete ownership and/or control of the Platform, Content and all the Intellectual Property Rights therein. 8. Acceptable Use BY ACCESSING AND/OR USING THE PLATFORM, YOU AGREE NOT TO: a) use the Platform, or any part thereof, for any illegal purpose, or in violation of any Applicable Laws, including any local, state, national, or international law; b) copy, modify or distribute any portion of the Platform, Content, and/or assessments without prior written consent from IGC; c) violate, or encourage others to violate, the rights of any third parties, including Intellectual Property Rights or privacy rights; d) upload, submit, or distribute any data or content that is unlawful, defamatory, libelous, obscene, harassing, invasive of privacy or otherwise objectionable; e) attempt to gain unauthorized access to the Platform, user accounts, or systems connected to the Platform; f) use the Platform or any features thereof, to distribute or facilitate the sending of unsolicited mass email or other messages, promotions or solicitations (e.g., “spam”), including advertising or other announcements of any kind; g) use or attempt to use any automated system, scripts, bots, or other means to access the Platform, manipulate mechanics, tamper with scores or Leaderboard rankings or any component of the Platform; h) misrepresent any information during registration with IGC, including but not limited to your name, age, city, educational qualification, or eligibility status, or do any acts to gain access to benefits or rewards such as digital gifts you are otherwise not entitled to; i) permit or enable any third party, including parents, guardian, or peers, to attempt the challenges on the Platform or any stage of IGC, to participate on your behalf, or assist in any manner during the course of IGC; j) engage in any conduct that in IGC’s sole discretion, is intended to disrupt or undermine the integrity or fairness of IGC; k) upload any malicious code, program, viruses or otherwise intentionally interfering with or damaging the operation of the Platform or the IGC; or l) permit, enable or authorize a third party to do any of the foregoing. 9. Fees and Refunds 9.1. Access to Stage 1 of the IGC is free of charge. Any person may visit the Platform and attempt the quizzes or challenges made available, with or without registering on the Platform. However, scores achieved by Users who do not register will not be stored, tracked, or considered for Leaderboard rankings, rewards, or eligibility for Stage 2. 9.2. To be eligible for digital gifts, Leaderboard placement, or consideration for selection into Stage 2, registration and verification (as described in Section 4) are mandatory. 9.3. Participation in Stage 2 (Offline Event) may require payment of a nominal fee, the details of which will be communicated to invited participants. All such participation fees, if and when charged, will be non-refundable except in cases where cancellation is made by IGC or due to an error solely attributable to us. 10. Termination and Modification of Platform 10.1. We reserve the right to discontinue or modify the Platform, challenge structure, rewards, or any part thereof, at any time, without prior notice or liability. We shall not be liable for any loss or inconvenience caused to you due to such changes. Any termination of access or use shall not affect rights accrued prior to such termination. 10.2. Where reasonable and practicable, we will endeavour to notify Users of any material changes on the Platform, however, it remains your responsibility to periodically review these Terms and any related updates regarding IGC communicated through the Platform. 10.3. We also reserve the right to suspend or discontinue the registration or participation of any User, at our sole discretion, in the event of any breach of these Terms, or violation of any rules, instructions, or communications issued by IGC through the Platform from time to time. Such suspension or disqualification may be immediate and without prior notice, particularly where continued participation would adversely affect the integrity or fairness of the challenge. 11. Data Privacy and Leaderboard 11.1. Please read our Privacy Policy carefully for information relating to our collection, use and disclosure of personal data. The Privacy Policy is hereby incorporated by reference into, and made a part of these Terms. 11.2. By registering on the Platform and participating in the IGC, you consent to the display or your username, score, city or region, any other relevant information, on public Leaderboard on the Platform. If you are below 18 years of age, you confirm that you have obtained consent from your parent or legal guardian, to register on the Platform and participate in IGC, and allow us to publicly display relevant details on the Leaderboard. 12. Indemnity and Limitation of Liability 12.1. By accessing and using the Platform, you agree to indemnify and hold harmless IGC, our officers, employees, affiliates and partners, from and against any claim, demands, liability or losses, arising out of or in connection with your access or use of the Platform, your violation of these Terms and relevant IGC regulations, or your violation of any Applicable Law. 12.2. To the fullest extent permitted by Applicable Law, IGC shall not be liable for any loss, damage, or liability arising out of or in connection with your access or use of the Platform, including your registration on the Platform and participation with IGC, including but not limited to any loss of data, performance rankings, denial of rewards, or Platform unavailability. 12.3. The Platform and all Content on the Platform in relation to IGC are provided “as is” and “as available”, without any warranties of any nature. We disclaim all liabilities for inaccuracies, delays or errors in any Content, scoring or results on the Platform. 13. Grievance Redressal Mechanism 13.1. If you have any complaints, concerns, or grievances with respect to the Platform, the challenge, or any Content made available by us, you may reach out to our Grievance Officer. Upon receipt of your complaint, we will acknowledge it within 24 hours and endeavour to resolve it within 15 days, in accordance with Applicable Law. Governing Law and Jurisdiction 14.1. These Terms and your access or use of the Platform is governed by the laws of India, without reference to conflict of law principles. 14.2. In case of any disputes arising out of, or relating to these Terms, or the Platform (collectively called “Disputes”), the Parties will aim to resolve the dispute in good faith within 30 (thirty) days from receipt of notice of Dispute, by either you or IGC. 14.3. In case of non-resolution, the Dispute will shall be finally resolved and settled by referring the matter to arbitration in accordance with the Arbitration and Conciliation Act, 1996 (including any statutory modification(s) or re-enactment thereof), and shall be referred to a sole arbitrator nominated and appointed by with the mutual consent of the Parties. 14.4. The venue for the arbitration will be New Delhi, India, and the language for the arbitral proceedings will be English. 14.5. Notwithstanding anything stated herein, you agree that the courts of New Delhi, India, will have jurisdiction in regard to any interim relief sought, during the course of the arbitration proceedings. 15. General Provisions 15.1. Entire Agreement: These Terms, the Privacy Policy, and any relevant regulations or guidelines regarding IGC, and other terms incorporated in these Terms by reference, constitutes the entire and exclusive understanding between the Parties regarding the access, use and registration on the Platform and participation in IGC. 15.2. Assignment: You may not assign or transfer any of its rights or obligations hereunder, whether by operation of law or otherwise, without our prior consent. We may assign our rights and obligations hereunder, in its entirety, without your consent, including to our affiliate, or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets. 15.3. Force Majure: We will not be liable by reasons of any failure or delay in the performance of any of our obligations hereunder on account of events beyond our reasonable control, which may include without limitation, denial-of-service attacks, strikes, shortages, riots, insurrection, fires, flood, storm, explosions, acts of God, war, terrorism, governmental action or lockdowns, pandemics, epidemics, earthquakes (each a “Force Majure Event”). Upon the occurrence of a Force Majeure Event, we reserve our right to halt, deny or revoke, access and/or use of the Platform, the operation of IGC, or your participation in IGC, and will be excused from non-performance of our obligations hereunder, for so long as the Force Majure Event continues. We further reserve our right to indefinitely cancel, or stop the operation of the IGC and/or the Platform, at our sole discretion, in case of the occurrence of any Force Majure Event. 15.4. Headings: Use of paragraph headers in these Terms is for convenience only and shall not have any impact on the interpretation of any provisions. 15.5. Severability: If, for any reason, a court of competent jurisdiction finds any provision of these Terms, or any portion thereof, to be unenforceable, that provision shall be enforced to the maximum extent permissible, so as to give effect to the intent of the Parties as reflected by that provision, and the remainder of the Terms shall continue in full force and effect. 15.6. Waiver: Any failure by us to enforce or exercise any provision of the Terms, or any related right, shall not constitute a waiver by us of that provision or right. 15.7. Survival: All provisions of these Terms which by their very nature are intended to survive the expiry or early termination of these Terms shall survive the expiry or early termination of these Terms, including without limitation, the provisions of Section 2 (Definitions), Section 4 (Accounts and Registration), Section 6 (Intellectual Property Rights and Ownership), Section 7 (Limited License and Restrictions), Section 8 (Acceptable Use), Section 9 (Fees and Refunds), Section 10 (Termination and Modification of the Platform), Section 12 (Indemnity and Limitation of Liability), Section 14 (Governing Law and Jurisdiction), and Section 15 (General Provisions). 15.8. Notices: All notices, writings and other communications under these Terms will be communicated to you by registered email, or through notices on the Platform.
